Terms for using Veriplane and related Norven Group platform materials.
Who These Terms Cover
These terms apply to access to Veriplane, related platform materials, and any online workflows made available by Norven Group Ltd. Separate written terms may apply to formal engagements, paid services, attestations, or deliverables.
Platform Use
Veriplane provides independent AI governance workflows and supporting materials. You may use the platform only for lawful business purposes and in accordance with any access conditions, security requirements, or engagement instructions provided to you.
You must not:
- Attempt to bypass authentication, authorisation, or rate limits.
- Upload unlawful, harmful, infringing, or malicious content.
- Interfere with platform security, availability, or audit integrity.
- Use the platform to make automated decisions without appropriate human governance and organisational controls.
No Professional Advice
Platform content is provided for governance workflow support and general information. It is not legal, regulatory, financial, technical, or professional advice unless expressly agreed in a signed written engagement with Norven Group Ltd.
Evidence and Submissions
You are responsible for ensuring that information, documents, model evidence, and governance materials submitted through Veriplane are accurate, complete, authorised for submission, and free from unlawful third-party restrictions.
We may rely on submitted information when preparing workflow outputs, assessments, summaries, or engagement materials.
Engagements and Deliverables
Formal engagements, attestations, expert reviews, and deliverables are governed by separate written terms agreed with Norven Group Ltd. If there is a conflict between these platform terms and a signed engagement agreement, the signed engagement agreement will prevail for that engagement.
Intellectual Property
Veriplane, platform workflows, interface materials, templates, methodologies, branding, and supporting content are owned by Norven Group Ltd or its licensors. You retain ownership of materials you submit, subject to the rights needed for us to operate the platform and provide the relevant services.
Confidentiality
Each party should protect confidential information with reasonable care and use it only for the purpose for which it was provided. Formal confidentiality obligations may be set out in a separate engagement agreement or non-disclosure agreement.
Availability
Features and platform materials may change as governance requirements, regulatory expectations, and service coverage evolve. We may suspend access where necessary to protect security, investigate misuse, perform maintenance, or comply with legal obligations.
Liability
Nothing in these terms excludes or limits liability where it would be unlawful to do so. Subject to that, Veriplane is provided on an as-available basis, and Norven Group Ltd is not responsible for losses arising from unauthorised use, inaccurate submissions, third-party systems, or decisions made without appropriate professional judgement.
Governing Law
These terms are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction unless a separate written agreement states otherwise.
